These Terms & Conditions (“Terms”) govern your purchase, download, installation, access, and use of any software, game, application, bot, plugin, tool, downloadable content, or related service provided by Eternal Loop Studios (“we,” “us,” “our”) (collectively, the “Software”). By using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

Support & Contact

1) Overview & Scope

These Terms are a legal agreement between Eternal Loop Studios and you (“Customer”). They apply to all present and future Software we publish, including (without limitation) desktop/mobile apps, games, web services, cloud components, bots (e.g., Discord), plugins, downloadable content, keys/licenses, and related materials.

Product-specific addenda (EULA, rules, content guidelines) may supplement these Terms and will govern in case of conflict for that product.

2) Sales Channels (Direct, Resellers/Merchant of Record, Marketplaces)

We sell the Software (a) directly via our website or payment processors (e.g., Stripe/PayPal/Mercado Pago), (b) through a Merchant of Record reseller such as Paddle, and/or (c) via marketplaces/app stores (e.g., Steam/Apple/Google) (collectively, “Sales Channels”).

3) Accounts & Eligibility

You must have legal capacity to contract and meet any age or local requirements. You are responsible for safeguarding your account credentials and for activity under your account.

4) License Types & Restrictions

Upon purchase, we grant a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal or business purposes as allowed by these Terms and the purchased plan (e.g., seats/devices).

5) Delivery, Activation & Updates

After a successful purchase, delivery may occur via download links, license keys, account activation, or marketplace library access. The Software may validate licenses periodically and may receive updates automatically. Some features require an internet connection and/or third-party accounts (e.g., Discord/Steam).

7) Subscriptions, Renewal & Cancellation

For subscription plans, the Sales Channel typically auto-renews unless you cancel before the renewal date. Manage or cancel via the channel portal or as instructed at checkout. Downgrades/cancellations generally take effect at the end of the current billing period.

We provide support via [support@eternalloopstudios.com] during [business hours & time zone]. Unless a specific SLA is provided, support and uptime are on a commercially reasonable basis without guarantee of uninterrupted service.

10) Third-Party Services & Dependencies

The Software may interoperate with third-party platforms, stores, APIs, or services (e.g., Discord, Steam, Apple, Google). Those services are provided by third parties under their own terms and privacy policies. We are not responsible for their availability, performance, or changes. Features may become unavailable if a third-party service changes or ends functionality.

11) Data, Privacy & Telemetry

We process personal data in accordance with our Privacy Policy. We may collect limited telemetry and diagnostics to improve stability/security; controls are described in the Privacy Policy. For purchases via resellers/marketplaces, those parties may act as independent controllers for billing data.

12) Online Features, Service Changes & Sunset

Some features depend on online services, servers, or third-party APIs. We may modify, suspend, or discontinue online features with reasonable notice where feasible. If we sunset online services for a product, we will aim to provide reasonable advance notice and, where practical, an offline mode or data export.

13) User-Generated Content & Community Conduct (if applicable)

If a product allows user-generated content or community interaction, you must not upload/share illegal, infringing, or harmful content, nor harass or spam others. We may remove content or suspend accounts for violations of these Terms or product-specific rules.

14) Intellectual Property & Open-Source Notices

The Software, documentation, and trademarks are owned by Eternal Loop Studios or our licensors. No ownership is transferred under these Terms. If a product includes open-source components, those are provided under their respective licenses as listed at [https://www.eternalloopstudios.com/oss-licenses].

15) Disclaimers

The Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain disclaimers; in such cases, the above may not fully apply.

16) Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, loss of profits, data, goodwill, or business interruption. Our aggregate liability for all claims relating to the Software shall not exceed the amount you actually paid for the Software in the 12 months preceding the claim.

17) Indemnification

You agree to defend, indemnify, and hold harmless Eternal Loop Studios from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Software, your breach of these Terms, or your violation of any law or third-party rights.

18) Export & Sanctions Compliance

You must comply with applicable export control and sanctions laws and may not use or export the Software in violation of such laws.

19) Governing Law & Venue

These Terms are governed by the laws of Uruguay, excluding its conflict-of-laws rules. The exclusive venue for disputes is the courts located in Montevideo, Uruguay, unless mandatory consumer law provides otherwise.

20) Changes to these Terms

We may update these Terms from time to time. Material changes will be signaled by updating the “Last updated” date and, where appropriate, by additional notice. Continued use after changes constitutes acceptance of the updated Terms.
